Execution of sale Deed
1. The subsidiary will execute the sale deed in favour of the
purchaser within 15
days of the receipt of full amount of the bid. Draft sale is
given in Annexure
2. The sale deed be executed with the buyer specifying there in
all the terms and
conditions related to the sale of the land. The ' Conveyance
Deed’ shall be executed
With the buyer, the documents will be duly registered and the
possession of the assets
purchased and title thereof shall be transferred to the buyer
only on receipt of full
payment of purchase .
3. Sale deed will be subject to jurisdiction of the court where
property is situated.
4. All costs, charges, taxes, if any and expenses incidental to
and in relation to the
sale including the cost of and incidental to the sale agreement
and other writings, if
required to be made in pursuance thereof, stamp duty,
registration fee, other charges
etc. shall be borne and paid by the purchaser alone.
Compliance with statutes regulations
Purchaser shall comply with all statutory provisions, rules and
regulations, bye-laws
etc. in all respects, including paying all fees, taxes in
accordance with the provisions
of:-
1. Any Central or State enactment, ordinance of other statute. Or
any regulation or bye-law of any local or other duly constituted
authority.
INDEMNITY
The intending purchaser shall indemnity St. George Church against
all actions, suits claims and demands brought for made against it
in respect of anything done or omitted to be done by the
intending purchaser in execution of, or in connection with the
work of the Church in consequence of any action or suit being
brought against the Church for anything done or omitted to be
done in the execution of this Agreement. |
